YAOYO Terms of Service

These Terms of Service ("Terms") govern your access to and use of yaoyo.tv and related applications and services (the "Service"). The Service is operated by YAOYO, Inc., a Delaware corporation ("YAOYO," "we," "us," or "our").

Operator change notice. As of July 2026, operation of the Service was transferred to YAOYO, Inc. These Terms replace and supersede all prior versions of the terms of service, including any version that identified MBR G.K. (MBR合同会社) as the operator. Your agreement for use of the Service is now with YAOYO, Inc.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Content" means videos, images, audio, text, and other materials uploaded to or made available through the Service.
• "Creator" means a user who uploads Content or offers monetization features.
• "Fan Club" means a Creator's paid monthly membership offered through the Service.
• "Stars" means the virtual items purchasable on the Service and used to send Gifts.
• "Gifts" means the virtual items (e.g., Candy, Flower, Ribbon, Trophy, Diamond, Crown) that users send to works using Stars.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

You must be at least 18 years old to (a) purchase Stars or Fan Club subscriptions, or (b) receive Creator earnings and payouts.

You may not use the Service if you are prohibited from doing so under applicable export control or sanctions laws, or if your account was previously suspended or terminated by YAOYO.

3. Accounts

You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it up to date. Notify us promptly at hello@yaoyo.tv of any unauthorized use. We may reclaim usernames that are inactive, infringing, or misleading.

4. Your Content and License to YAOYO

You own your Content. YAOYO does not claim ownership of Content you upload.

By uploading Content, you grant YAOYO a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers, such as video infrastructure and hosting providers) license to host, store, encode, reproduce, distribute, stream, publicly display and perform, create technical adaptations of (e.g., thumbnails, previews, clips, resolutions), and otherwise use your Content for the purposes of operating, improving, and promoting the Service, including on YAOYO's official social media channels.

This license ends when you delete your Content or your account, except that (a) removal from backups, caches, and CDN copies may take a reasonable period, (b) promotional materials created before removal (e.g., a social post featuring your work) are not required to be retracted, and (c) the license continues for Content that others have re-shared within the Service features, to the extent needed to operate those features.

You can delete your Content at any time through the Service.

If you provide feedback or suggestions, we may use them without obligation to you.

5. AI-Generated Content Rules

YAOYO is a platform for AI-generated cinema. By uploading Content, you represent and warrant that:

1. You created the Content or otherwise hold all rights necessary to upload it and grant the license in Section 4.
2. Your creation and use of the Content complies with the terms of the AI tools and models used to make it (including any commercial-use restrictions).
3. The Content does not infringe any third party's copyright, trademark, publicity, privacy, or other rights. Do not use a real, identifiable person's likeness or voice without their consent.
4. Tool tags, credits, and other metadata you attach are accurate.
5. If Content contains sponsored or paid promotion, you will disclose it as required by applicable advertising laws.

6. Prohibited Conduct

You agree not to:

• Upload Content that is unlawful, infringing, defamatory, or that sexualizes minors in any way; or Content depicting real-world violence you were involved in perpetrating;
• Impersonate any person or entity, or misrepresent the origin of Content;
• Artificially inflate views, likes, rankings, gifts, memberships, or other metrics, or engage in payment fraud, money laundering, or self-dealing designed to convert payment-method funds into payouts;
• Scrape, crawl, harvest, or bulk-download Content or data from the Service, or use Content from the Service to train machine-learning or AI models, without YAOYO's prior written consent and the consent of the relevant rights holders;
• Circumvent security, rate limits, or access controls, or interfere with the operation of the Service;
• Resell or commercially exploit the Service except as expressly permitted by these Terms.

We may remove Content, restrict features, or suspend or terminate accounts that violate these Terms.

7. Monetization Overview

The Service offers monetization features, currently including Fan Clubs, Stars & Gifts, and Jobs (creator commissions). YAOYO is the merchant of record for purchases made on the Service: your payment relationship for such purchases is with YAOYO, Inc., and Creator earnings are paid out by YAOYO as described in Sections 11–12.

Monetization features may not be available in all countries, may require identity verification, and may change over time. Feature availability, pricing, and rates in this document reflect the Service as of the Last Updated date above.

8. Fan Club Subscriptions

• Fan Club plans are offered at monthly prices of USD $5, $10, or $20 per Creator (as selected by the Creator). Prices may be displayed in your local currency for convenience; settlement is in USD.
• Subscriptions renew automatically each month until cancelled. You can cancel at any time via the billing portal in the Service; cancellation takes effect at the end of the current billing period, and you keep access until then.
• Fan Club benefits are provided by the relevant Creator. YAOYO does not guarantee any particular benefit. If a Creator's Fan Club becomes unavailable (for example, the Creator leaves the Service), future renewals will be cancelled.
• Except where required by law, payments are non-refundable, including for partially used billing periods.

9. Stars and Gifts

• Stars are sold in packages of $1 = 100 Stars, $5 = 550 Stars, $10 = 1,150 Stars (USD). Per-transaction purchase limits may apply (currently up to $10 per transaction).
• Stars can be used to send Gifts to works on the Service. Current Gifts and their Star costs: Candy 50, Flower 100, Ribbon 150, Trophy 200, Diamond 300, Crown 500. We may change the Gift lineup and Star costs prospectively.
• Stars and Gifts are a limited, personal, non-transferable, revocable license to use features of the Service. They are not money, deposits, electronic money, or property; they have no cash value, cannot be exchanged for cash by users, cannot be transferred between accounts, and are non-refundable except where required by law. Stars do not currently have an expiration date.
• Gifting activity (e.g., your username and the Gift sent) may be displayed publicly on the relevant work and in rankings.
• If your account is terminated for violation of these Terms, any remaining Stars may be forfeited to the extent permitted by law.

10. Jobs and Commissions

The Service may connect Creators with clients for commissioned work ("Jobs"), whether through platform features or matchmaking arranged by YAOYO.

• Platform fee: For engagements arranged through the Service, YAOYO's fee is currently 25% of the transaction amount, deducted from the amount paid by the client or from the Creator's proceeds, as specified at the time of the engagement.
• No circumvention: If a client and Creator are first connected through the Service, all payments for engagements between them within 24 months of that first connection must be made through the Service (or, if made outside the Service, remain subject to the 25% fee). Contact us if you wish to move a relationship off-platform; we may agree to a buy-out.
• Unless expressly stated otherwise for a given engagement, the contract for the commissioned work is between the client and the Creator; YAOYO is not a party to it and does not guarantee performance by either side.

11. Creator Earnings and Revenue Share

Creator earnings are calculated as a percentage of the underlying transaction, based on the Creator's tier at the time of the transaction. Your current tier is shown in your account. Current revenue share rates:

Fan Club subscriptions (share of gross subscription revenue):

For Fan Club revenue, third-party payment processing fees are deducted from the Creator's share (net = Creator share of gross, minus processing fees for that charge).

Gifts (share of the Star value of Gifts received, at $0.01 per Star):

For Gifts, no additional processing fee is deducted at the time of gifting.

Adjustments: Refunds, chargebacks, and reversed or fraudulent transactions will be deducted from the Creator's pending or future earnings, and may result in a negative balance that we offset against future earnings.

Rate changes: We may update tiers and revenue share rates. Changes that materially reduce a rate will take effect no earlier than 30 days after notice and apply prospectively only.

12. Payouts

• Earnings accrue to a pending balance and are paid out monthly (on or around the 1st of each month, UTC), subject to a minimum payout of USD $100. Balances below the minimum roll over to the next month.
• Payouts are made via Stripe Connect (in supported countries) or Wise (in additional supported countries). You must complete onboarding, provide accurate payout details, and pass any required identity, tax, or sanctions verification. Payouts are made in USD or converted by the payout provider; provider fees and exchange rates may apply.
• Where payout rails are not available for your country, earnings continue to accrue and will be paid when a supported method becomes available or as otherwise agreed.
• You are responsible for all taxes on your earnings. We may require tax documentation (e.g., IRS Form W-9 or W-8 series) and may report payments to tax authorities and withhold where legally required.
• We may suspend or withhold payouts while investigating suspected fraud, ToS violations, or as required by law, and we may recover amounts paid in error.

13. Payments Processing

Payments are processed by third-party processors (currently Stripe). By making a purchase you authorize the charge to your payment method, including recurring charges for subscriptions. Prices may not include taxes; where required, applicable taxes will be added or itemized at checkout. Your card issuer may charge foreign transaction or currency conversion fees.

14. Creator Programs, Badges, and Awards

Programs such as Founding Creator, Early Access, Verified, and Cinema Master, and related badges, are granted at YAOYO's discretion under the criteria we publish or communicate, may be reviewed periodically (e.g., Cinema Master is reviewed quarterly), and may be revoked for violations of these Terms.

Contests such as YAOYO Awards are governed by the rules posted for each edition. By entering, you grant YAOYO the right to announce and promote winning entries (including your username and the work) on the Service and official channels.

15. YAOYO Intellectual Property

The Service, including its software, design, and the YAOYO name and logos, is owned by YAOYO or its licensors and protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred to you. You may not use the YAOYO name or logos without our prior written consent.

16. Copyright Complaints (DMCA)

We respond to copyright notices under the U.S. Digital Millennium Copyright Act. See our DMCA Policy for how to submit a notice or counter-notice. We terminate the accounts of repeat infringers in appropriate circumstances.

17. Third-Party Services

The Service relies on and may link to third-party services (e.g., payment processors, video infrastructure, AI tools). Your use of third-party services is governed by their terms, and YAOYO is not responsible for them.

18. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, remove Content, or discontinue the Service (in whole or in part) at any time, including for violations of these Terms or where required by law. Sections that by their nature should survive termination (including Sections 4 (license as described), 6, 9–13, 15, and 19–24) survive.

Upon termination of a Creator account in good standing, we will pay out any remaining vested earnings above the minimum threshold in the ordinary payout cycle, subject to Section 12.

19. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE OR LAWFUL. CONTENT ON THE SERVICE IS CREATED BY USERS, LARGELY WITH AI TOOLS, AND DOES NOT REPRESENT YAOYO'S VIEWS.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAOYO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAOYO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 AND (B) THE AMOUNTS YOU PAID TO YAOYO IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

21. Indemnification

You will indemnify and hold harmless YAOYO from and against claims, damages, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Service, or your violation of these Terms or applicable law.

22. Dispute Resolution; Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules.

Before filing a claim, you agree to try to resolve the dispute informally by contacting hello@yaoyo.tv; we will try to do the same. If not resolved within 30 days, any claim must be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction, except that either party may bring an individual claim in small-claims court where eligible.

To the extent permitted by law, you and YAOYO each waive the right to participate in a class action or class-wide arbitration. Nothing in this Section deprives you of mandatory consumer protections of the country where you habitually reside.

23. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice (e.g., in-Service announcement or email) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, stop using the Service.

24. General

• Assignment. You may not assign these Terms. YAOYO may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.
• Language. These Terms are drafted in English. Translations are for convenience only; the English version controls.
• Entire agreement; severability; waiver. These Terms (together with policies referenced in them) are the entire agreement between you and YAOYO regarding the Service. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
• Force majeure. YAOYO is not liable for delays or failures caused by events beyond its reasonable control.
