Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of yaoyo.tv and related services (the "Service") operated by MBR LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

If you are a minor under the age of majority in your jurisdiction (in Japan, under 18), you may use the Service and make any payment only with the prior consent of your parent or legal guardian, who agrees to be bound by these Terms on your behalf. Paid features, including fan club subscriptions, require such consent where applicable.

3. Account Registration

• During the invitation period, account creation requires a valid invitation code
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate and complete information during registration
• You may not create multiple accounts to circumvent restrictions or bans
• One person may operate only one personal account

4. User Content

4.1 Your Content

You retain ownership of the content you upload to the Service ("Your Content"). By uploading, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as transcoding), display, distribute, and promote Your Content in connection with operating and improving the Service.

This license continues for as long as Your Content remains on the Service. When you delete Your Content, the license terminates, except for backup copies retained for a reasonable period and copies that other users may have already accessed.

4.2 Content Standards

You agree not to upload content that:

• Is illegal, infringes intellectual property rights, or violates third-party rights
• Contains sexual, sexually suggestive, or pornographic material
• Depicts or promotes violence, self-harm, or harm to others
• Constitutes harassment, hate speech, or discrimination
• Contains misleading deepfakes of real persons without consent
• Promotes illegal activity or substances
• Contains malware, viruses, or harmful code
• Spams, scams, or deceives other users
• Violates any applicable law or regulation

We reserve the right to remove any content at our discretion and to suspend or terminate accounts that violate these standards.

4.3 AI-Generated Content

YAOYO is a platform for AI-generated cinematic content. You are responsible for ensuring that your use of AI tools complies with the terms of those tools and with applicable law. You must accurately disclose AI involvement using the platform's transparency badges where required.

5. Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use bots, scrapers, or automated tools to access the Service except as expressly permitted
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to accounts, systems, or data
• Use the Service to violate any law or regulation

6. Founding Creator Program

Founding Creators are users who joined during the invitation period and received the Founding Creator badge. The badge is permanent except in cases of serious violation of these Terms. Founding Creators may receive preferential treatment in future monetization features at our discretion. Specific benefits may evolve and are not guaranteed.

7. Intellectual Property

The Service, including its design, features, code, branding, and trademarks, is owned by MBR LLC and protected by intellectual property law. You may not copy, modify, or create derivative works of the Service without our express permission.

8. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time by contacting yaoyo.official@gmail.com.

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination (including ownership, indemnification, disclaimers, and limitation of liability) will survive.

9. Payments and Monetization

9.1 Payment Processing

All monetary transactions on the Service are processed by Stripe, Inc. ("Stripe"). By using any paid or monetization feature of the Service (such as fan club subscriptions, and any additional features we may offer from time to time), you agree to Stripe's Services Agreement and the Stripe Connected Account Agreement.

9.2 Creator Payouts

Creator earnings features (such as fan club subscriptions) are currently available only to Creators who reside in Japan and hold a bank account at a financial institution in Japan. Payout features for Creators residing outside Japan are not yet available and are under development.

Creators who wish to receive earnings must create and maintain a Stripe Connect Express account and complete Stripe's identity verification. We are not responsible for delays or failures in payouts caused by incorrect account information, banking issues, identity verification problems, or Stripe's processing. Creators are responsible for keeping their Stripe account information accurate and up-to-date.

9.3 Platform Fees

We charge platform fees on certain transactions. Current fee rates vary by Creator tier and transaction type and are disclosed in the Creator Dashboard. We reserve the right to modify fee rates with reasonable notice. Fee changes will not apply retroactively to transactions already completed.

9.4 Refunds and Disputes

Tips and fan club subscriptions are generally non-refundable due to the digital nature of the Service. In cases of fraud, unauthorized transactions, technical errors, or other disputes, we will review claims on a case-by-case basis. Refund requests must be submitted to yaoyo.official@gmail.com within 14 days of the transaction.

Chargebacks initiated through your payment provider may result in immediate account suspension and additional fees. We reserve the right to dispute chargebacks where appropriate.

9.5 Off-Platform Engagement Fee

After making a business connection through the Service (including but not limited to discovering, communicating with, or being introduced to a Creator or Client through YAOYO), any business arrangement between the Creator and Client conducted outside the Service within 24 months of the initial connection requires a 25% referral fee on the gross transaction amount, payable to MBR LLC.

This provision applies to all forms of off-platform transactions, including but not limited to direct payments, third-party platforms, and contracts. Violation may result in account suspension, recovery of unpaid fees, and legal action. We reserve the right to investigate suspected violations through reasonable means.

9.6 Taxes

Creators are responsible for reporting and paying all taxes (including income tax, consumption tax, and any other applicable taxes) on earnings received through the Service. We may collect tax-related information as required by applicable law and may issue tax forms (such as 1099-K in the United States or 支払調書 in Japan) where required.

9.7 Currency and Fluctuations

Transactions on the Service may occur in multiple currencies. Currency conversions are processed by Stripe at prevailing exchange rates. We are not responsible for losses due to currency fluctuations or conversion fees.

9.8 Fraudulent Activity

Any attempt to use the Service to launder money, conduct fraudulent transactions, or circumvent these Terms will result in immediate account termination, forfeiture of any pending payouts, and may be reported to law enforcement.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBR LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless MBR LLC and its affiliates from any claims, damages, losses, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the Tokyo District Court.
